1.1 Re8: Sean Weijenberg, trading as Re8, Evertsenstraat 131, Leiden, the Netherlands, registered with the Dutch Chamber of Commerce (KvK) under number 93958676, VAT number NL005055363B44.
1.2 Client: any legal entity or natural person acting in the course of a business or profession that requests a quotation from, places an order with, or enters into an agreement with Re8.
1.3 Goods: the used, refurbished, faulty or new electronic equipment, parts and components that Re8 sells, including mobile phones, tablets, laptops, servers and components.
1.4 Agreement: any agreement between Re8 and the Client for the sale of Goods by Re8 or the purchase of Goods by Re8, including every amendment and supplement.
1.5 In writing: by letter or email, and messages via WhatsApp or similar messaging services where the sender can be identified.
1.6 Vendor: any legal entity or natural person acting in the course of a business or profession that offers Goods to Re8, accepts a purchase order from Re8, or enters into an Agreement to sell Goods to Re8.
2.1 These terms apply to every quotation, offer and Agreement of Re8. They apply to sales by Re8 and to purchases by Re8. They apply only to business counterparties; Re8 does not sell to or buy from consumers.
2.2 The general terms and conditions of the Client or the Vendor (including their purchase or sales terms) are expressly rejected, also where they are referred to in an offer, order or confirmation.
2.3 Deviations from these terms are valid only if agreed In writing by Re8 and apply only to the Agreement concerned.
2.4 If any provision is void or annulled, the remaining provisions stay in force. Re8 and the Client will replace the provision with one that comes as close as possible to its purpose.
2.5 The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
2.6 These terms are drafted in English. In case of a translation, the English text prevails.
2.7 Articles 3 to 9 and 14 apply only when Re8 sells Goods. Articles 16 to 21 apply only when Re8 buys Goods. All other articles apply to both. In Articles 10, 11 and 13, “Client” also means the Vendor.
3.1 All offers are without obligation and valid for 48 hours unless stated otherwise. All offers are subject to prior sale and availability.
3.2 An Agreement is formed only when Re8 confirms the order In writing (order confirmation or pro forma invoice) or starts performing it.
3.3 Quantities, grade distributions and specifications in offers are based on information available to Re8 at the time. Re8 may deliver fewer or more units due to unforeseen circumstances. A reduced quantity does not give the Client the right to cancel.
3.4 Obvious errors or mistakes in offers, price lists or confirmations do not bind Re8.
3.5 Re8 may require prepayment, security or identity, ownership and sanctions checks before accepting an order, and may refuse an order without giving reasons.
4.1 The Goods are used or refurbished unless expressly stated otherwise. The Client accepts that used Goods show signs of use, wear and age consistent with their grade.
4.2 Goods are sold by grade. Grades describe functional and cosmetic condition at the time of grading by Re8 or its supplier. Grading is visual and functional sampling, not a full test of every function, unless agreed In writing. Re8 may change its grading guide at any time without notice; a change applies only to Agreements confirmed after it. A grade description in the offer or order confirmation prevails over the grading guide.
4.3 Re8’s grades and their descriptions are set out in the grading guide that Re8 shares with the Client. The version in force on the date of the order confirmation applies to that Agreement.
4.4 Goods in grades D, E, D-locked, E-locked, Power off and F are sold as faulty and “as is”. No claims are accepted for defects consistent with their grade.
4.5 Unless stated in the offer, Re8 gives no warranty on battery health, carrier or network compatibility, region, keyboard layout, charger or accessories, original parts, or software version. Specifications marked in the offer (such as “US-spec”) are part of the description.
4.6 Where an offer contains a grade not listed in the grading guide, Re8 provides a description of that grade in the offer or order confirmation. That description then applies to the Agreement.
5.1 Prices are in euros, exclusive of VAT, and EXW Leiden (Incoterms 2020), unless stated otherwise.
5.2 Prices exclude packaging beyond the original supplier packaging, transport, insurance, export documentation, import duties and any levies or charges in the destination country, unless stated otherwise.
5.3 Re8 may sell Goods under the margin scheme (margeregeling). On such invoices no VAT is shown and the Client cannot deduct VAT. Goods under the margin scheme and Goods under the standard VAT regime are invoiced separately. For supplies within the Netherlands of mobile phones, tablets, laptops, game consoles and integrated circuits (such as processors) to a business Client, where the value of these Goods on the invoice exceeds €10,000 excluding VAT, VAT is reverse-charged to the Client (btw verlegd) under Dutch VAT law, and the Client accounts for that VAT in its own VAT return.
5.4 For intra-EU supplies at 0% VAT, the Client must provide a valid VAT number and, on request, proof of transport out of the Netherlands. If this proof is not provided, Re8 may charge Dutch VAT afterwards and the Client must pay it.
5.5 Prices in currencies other than euros are based on the exchange rate on the date of the offer. Re8 may pass on exchange rate changes of more than 2% occurring before payment.
6.1 Unless agreed otherwise In writing, the Client pays 100% of the invoice amount in advance, to the bank account stated on the invoice, before Goods are released. Payment is only complete when the amount is credited to Re8’s account.
6.2 Where Re8 has agreed a payment term, the Client pays within the agreed number of days of the invoice date. The Client may not set off, suspend or deduct any amount without Re8’s prior written approval.
6.3 Bank charges, including those of intermediary banks, are for the Client’s account.
6.4 If the Client does not pay on time, it is in default without notice. From that date it owes statutory commercial interest (art. 6:119a Dutch Civil Code) and extrajudicial collection costs of 15% of the outstanding amount, with a minimum of €40.
6.5 Re8 will never change its bank details by email alone. The Client must verify any change of bank details by phone with Re8 before paying. Payments to an account other than Re8’s account do not discharge the Client.
6.6 Payments must come from a bank account in the Client’s own name. Re8 may refuse or return payments from third parties, cash, or non-bank payment services, and may then cancel the order. Refunds are made only to the account from which payment was received.
7.1 Delivery is EXW/FCA Re8’s warehouse in the Netherlands (Incoterms 2020) unless stated otherwise. Risk passes to the Client when the Goods are made available for collection (EXW) or handed to the Client’s carrier (FCA).
7.2 Goods are shipped in the packaging in which Re8 received them, unless agreed otherwise. The Client is responsible for compliance with transport rules for lithium batteries and dangerous goods once it arranges transport.
7.3 The Client must collect the Goods within 10 working days after payment or notice of readiness. After this period Re8 may charge storage of €15 per box per week, and after 30 days Re8 may dissolve the Agreement, resell the Goods, and recover any loss from the Client.
7.4 Delivery dates are indicative and never final deadlines. Late delivery does not entitle the Client to compensation or dissolution.
7.5 Re8 may deliver in parts and invoice each part separately.
8.1 The Client must inspect the Goods on collection or, at the latest, on arrival. Visible damage to packaging or shortages must be noted on the CMR or delivery document.
8.2 Claims about quantity, grade or functional defects (DOA) must reach Re8 In writing within 7 working days after receipt, with the IMEI or serial number of each unit, a description of the defect, and photos or test reports. Later claims are not accepted.
8.3 Claims are accepted only if the Goods are in the same condition as delivered: unopened, unrepaired, unaltered, with original IMEI or serial labels, and not reflashed or reset beyond basic testing.
8.4 If a claim is accepted, Re8 may at its choice replace the units, credit the purchase price of the affected units, or agree a price reduction. Re8 has no other obligation.
8.5 Returns are only accepted with Re8’s prior written approval and at the Client’s cost and risk, unless the claim is accepted in full.
8.6 A claim about part of a delivery does not entitle the Client to refuse or withhold payment for the rest.
8.7 Re8 may, at its discretion, accept a claim that does not meet the requirements of this Article. Doing so in one case does not set a precedent and does not waive Re8’s rights in any other case.
9.1 Re8 remains the owner of all Goods until the Client has paid all amounts owed under that Agreement and any other Agreement with Re8, including interest and costs.
9.2 Until ownership passes, the Client may resell the Goods only in the normal course of its business and may not pledge them or grant any other right over them.
9.3 If the Client is in default, Re8 may retrieve the Goods. The Client gives Re8 access to the places where the Goods are kept.
9.4 Where Goods are delivered to another country, retention of title is governed by the law of that country if that law gives Re8 more protection.
10.1 Re8’s total liability under or in connection with an Agreement is limited to the invoice value (excluding VAT) of the Goods to which the claim relates.
10.2 Re8 is never liable for indirect or consequential loss, including lost profit, lost sales, loss of data, reputational damage, fines, or costs of third parties.
10.3 These limitations do not apply in case of intent or deliberate recklessness of Re8’s management.
10.4 Any claim against Re8 lapses if not brought before a court within one year after the Client became aware, or could reasonably have become aware, of the facts on which it is based.
11.1 The Client is responsible for compliance with all export control, sanctions, customs and import rules that apply to the Goods and their further sale, including EU sanctions regulations, the EU Dual-Use Regulation and, where applicable, the US Export Administration Regulations (EAR) for US-origin Goods.
11.2 The Client warrants that it, its owners and its end customers are not on any EU, UN, UK or US sanctions list, and that it will not sell, export or deliver the Goods, directly or indirectly, to sanctioned persons, prohibited destinations or prohibited end uses.
11.3 Re8 does not warrant that the Goods may lawfully be marketed in a particular country, or that they are free of intellectual property or distribution restrictions in the destination country. The Client is responsible for this.
11.4 The Client provides, on request, information on its identity, ownership, end customers and final destination. Re8 may suspend or dissolve an Agreement without liability if it reasonably suspects a breach of this article, or if the Client does not provide this information.
11.5 When Re8 buys Goods, the Vendor states In writing the country of origin of the Goods, and whether they are of US origin or subject to any export restriction, licence requirement or sanctions measure.
11.6 The Client will not sell, export or re-export, directly or indirectly, any Goods to the Russian Federation or Belarus, or for use there, where the Goods fall within the scope of Article 12g of Council Regulation (EU) No 833/2014 or Article 8g of Council Regulation (EC) No 765/2006, as amended.
11.7 The Client imposes the obligations of this Article on its own customers and uses its best efforts to prevent breaches further down the chain. It informs Re8 immediately of any suspected breach and answers Re8’s compliance questions within two weeks. A breach of this Article is a material breach, and the Client compensates Re8 for all resulting loss, fines and legal costs.
11.8 Faulty Goods are sold as products for repair, refurbishment or reuse of parts, not as waste, and the Client buys them for that purpose. The Client handles any waste arising from its testing, repair or refurbishment, including units it cannot repair, in line with EU waste, WEEE and waste-shipment rules and the Basel Convention. It will not ship such waste from an EU or OECD country to a non-OECD country, and will not dispose of it by landfill or incineration. On request, the Client shows Re8 how it complies, and allows audits by Re8 or Re8’s suppliers.
12.1 Unless Re8 states In writing that the Goods have been data-erased with a certified method, Re8 does not warrant that the Goods are free of data.
12.2 The Client will not access, copy, recover or use any personal or other data found on the Goods. It will erase such data securely before resale, in line with the GDPR, and will indemnify Re8 against claims arising from a breach of this article.
12.3 When Re8 buys Goods, the Vendor is responsible for removing all data from the Goods before delivery, unless Re8 has agreed In writing to carry out data erasure as a separate service under a data processing agreement. Articles 12.1 and 12.2 then do not apply to that purchase.
13.1 Re8 is not liable for failure or delay caused by circumstances beyond its control. These include failure or late delivery by its suppliers, transport disruptions, strikes, government measures, sanctions, export restrictions, epidemics, fire, theft and IT or payment-system failures.
13.2 If force majeure lasts more than 30 days, either party may dissolve the Agreement In writing for the part not yet performed, without any obligation to pay compensation. Amounts already paid for undelivered Goods will be refunded.
14.1 The Client cannot cancel a confirmed order unless Re8 agrees In writing. If Re8 agrees, the Client owes a cancellation fee of 10% of the order value, without prejudice to Re8’s right to full compensation. Re8 may waive this fee at its discretion.
14.2 Re8 may suspend performance or dissolve the Agreement with immediate effect, without notice or court intervention and without liability, if the Client fails to pay on time, is declared bankrupt, applies for suspension of payments, ceases its business, or breaches Article 11. All amounts owed by the Client then become payable immediately.
15.1 Dutch law governs these terms and every Agreement. The CISG does not apply.
15.2 All disputes are submitted exclusively to the competent court in The Hague (Rechtbank Den Haag), the Netherlands. Re8 may also bring a claim before the competent court in the Client’s place of business.
15.3 Re8 may amend these terms. The version in force on the date of the Agreement applies. The current version is published at re-8.com.
16.1 An Agreement for the purchase of Goods by Re8 is formed only when Re8 issues or confirms a purchase order In writing. Price lists, stock lists and offers from the Vendor bind the Vendor for the validity period stated in them.
16.2 The purchase order states the Goods, quantities, grades, prices, delivery terms and Re8’s purchase reference. The Vendor quotes this reference on all invoices, packing lists and correspondence.
16.3 Any deviation from the purchase order (quantity, model, specification, grade or price) is binding on Re8 only if Re8 has accepted it In writing before shipment.
17.1 The Vendor warrants that the Goods:
17.2 Grades are Re8’s grades as set out in Re8’s grading guide. Where the Vendor uses its own grading, the Vendor’s grades apply only as translated into Re8 grades in Re8’s purchase order. An unconfirmed grade translation does not bind Re8.
17.3 The Vendor provides, on request, the IMEI or serial number of each unit before shipment and a packing list with these numbers on shipment.
18.1 Prices in the purchase order are fixed and include the Vendor’s packaging and export documentation, unless stated otherwise.
18.2 The Vendor’s invoice states Re8’s purchase reference, the Vendor’s VAT number and, where applicable, that the margin scheme applies (“margin scheme – second-hand goods”) or that VAT is reverse-charged. Margin-scheme and standard-VAT Goods are invoiced separately. Re8 may withhold payment of an invoice that does not meet these requirements.
18.3 Unless agreed otherwise In writing, Re8 pays within 10 days of receipt and inspection of the Goods and a correct invoice. Where prepayment is agreed, Article 20 still applies in full.
18.4 Before the first payment to a new Vendor, Re8 carries out identity, ownership, bank-account and sanctions checks, and checks the VAT number in VIES. Re8 may postpone payment until these checks are complete, without owing interest.
18.5 Changes to the Vendor’s bank details are valid only after Re8 has verified them by phone with a known contact at the Vendor. Re8 may set off amounts owed to the Vendor against any claim Re8 has on the Vendor.
19.1 Delivery is EXW the Vendor’s premises (Incoterms 2020) unless stated otherwise in the purchase order. The Vendor makes the Goods available on the agreed date, packed in sound packaging suitable for transport, with each box labelled and matching the packing list.
19.2 The Vendor packs and labels lithium batteries and other dangerous goods in line with the applicable transport rules.
19.3 If the Vendor does not make the Goods available on the agreed date, Re8 may dissolve the Agreement in whole or in part without notice and without liability, and recover any amount paid and any loss.
19.4 Ownership of the Goods passes to Re8 on delivery or, if earlier, on payment. Any retention of title by the Vendor is excluded unless agreed In writing.
20.1 Re8 inspects the Goods within 30 working days after their arrival at Re8’s warehouse in the Netherlands. Payment, collection or receipt does not mean acceptance.
20.2 Re8 notifies the Vendor In writing of any shortage, wrong model or specification, grade deviation, dead-on-arrival unit, lock, blacklisted IMEI or counterfeit unit, with the IMEI or serial numbers concerned.
20.3 At Re8’s choice, the Vendor credits the purchase price of the non-conforming units, replaces them, or agrees a price reduction. Returns are at the Vendor’s cost and risk. The Vendor settles a claim within 14 days of notification.
20.4 Claims about hidden defects, locks applied after delivery, blacklisting, theft, counterfeiting or title may be made within 12 months after delivery, regardless of Article 20.1.
21.1 The Vendor is liable for all loss Re8 suffers because the Goods do not comply with the Agreement or with Article 17, including claims from Re8’s clients, transport and handling costs, and costs of testing and replacement.
21.2 The Vendor indemnifies Re8 against all third-party claims relating to the Goods, including claims concerning ownership, theft, intellectual property, counterfeiting, data left on the Goods, export control and sanctions.
21.3 Article 10 limits Re8’s liability towards the Vendor. It does not limit the Vendor’s liability towards Re8.
